ByacceptingtheTerms&Conditionsand/orregisteringwithRapidAuctionSoft,YouconfirmthatYouareatleast18yearsofageandatleastageofmajorityunderapplicablelawsofthecountry,state,city,orotherjurisdiction(each,a"Jurisdiction")ofYourresidence,thatYoucanengageinabindingcontract,andthatYoumeetallothereligibilityrequirementscontainedintheseTerms&Conditions.ByusingRapidAuctionSoft,YouwarrantthatYouhavetheright,authority,andcapacitytoenterintothisagreementandtoabidebyalloftheTerms&Conditions.

Youmustresideinoneofthe50statesoftheUnitedStatesorWashingtonD.C.

RapidAuctionSoftemployeesandtheirfamilymembers(definedasparents,spouse,siblingsandchildren)andanypersonsresidinginthesamehouseholdasRapidAuctionSoftemployeesmaynotunderanycircumstancesparticipateinRapidAuctionSoftauctions.

RapidAuctionSoftproductsandservicesareofferedexclusivelytoprivateusersandnottocommercialorsemi-commercialretailers.

RapidAuctionSoftreservestherighttolimitinitssolediscretionthenumberofuseraccountspernaturalpersonandthenumberofwonauctionsperuseraccount.Asinglecreditcardmaynotbeusedinconjunctionwithmultipleuseraccounts.RapidAuctionSoftlimitsthenumberofuseraccountspernaturalpersontoone(exceptionsmayapply–contactcustomersupportwithanyquestionsatsupport@quibids.com).Asingleuseraccountmaywinamaximumoftwelve(12)auctions,excludingbidvoucherauctions,ina28-dayperiod.Asingleuseraccountmayonlywinamaximumoftwelve(12)auctionsper24-hourperiod.Auseraccountmayonlybewinningamaximumoffive(5)auctionsatanyonetime,plusone(1)beginnerauctionifapplicable,lessthenumberofcurrentauctionwinsovertheprevious24-hourperiod.Auseraccountgenerallymaywinonlyoneofthesameitemwithavaluepricegreaterthan$285invalueduringa28-dayperiodand/oroneitemwithavaluepriceequaltoorgreaterthan$1,000duringa28-dayperiod.However,RapidAuctionSoftreservestherightto,fromtimetotimeandinitssolediscretion,imposedifferentwinlimitsforspecificproducts.

Youmaynotparticipateincollusionwithotherusers.RapidAuctionSoftreservestherighttopermanentlyclosetheaccountsofuserssuspectedofcollusion.IfYouraccounthasbeenclosedduetosuspicionofcollusion,YouwillnolongerbeentitledtorefundsforYourpurchasesonRapidAuctionSoft.

Registering

YoumayregisteronlyoncewithRapidAuctionSoft,andYoumustprovideapostaladdresswhereYoureside(P.O.boxesorsimilararrangementsarenotpermitted).Youagreenottohavemorethanoneaccount.Youmustnotprovidemisleadinginformationwhenregistering.YoumaynotcolludetoexchangeinformationwithotherRapidAuctionSoftusers.Yourchosenusernamemustnotbeoffensive,rude,disparaging,orintendedtodeceiveordeludeotherRapidAuctionSoftusers.Yourusernamemaynotadvertiseforotherwebsitesorservicesorotherwiseviolatetheintellectualpropertyrightsofanythirdparty.

IfRapidAuctionSoftreceivesinformationthatYourusernameisillegalorinbreachoftheseTerms&ConditionsasevaluatedinRapidAuctionSoft'solediscretion,YouruseraccountmaybefrozenuntilYouchangetheusername.RapidAuctionSoftalsomaypermanentlycloseYouraccountwithoutpriornoticetoYouforviolatingtheseTerms&Conditions.

YouareresponsibleforkeepingYouruseraccountpasswordconfidential.RapidAuctionSoftwillneveraskforYourpasswordexceptduringlogin.YoushouldneverprovideYourpasswordtoanyone,includingRapidAuctionSoft'employees.Useraccountsarenon-transferable.OnlyYoumayuseYouruseraccount.YouagreetobeliableforalloffensiveorunlawfulactivitiesthatareundertakenusingYouruseraccount.

AccountTermination

RapidAuctionSoftreservestherighttotemporarilyorpermanentlyterminateYouraccountatRapidAuctionSoftsolediscretionifitdeterminesorsuspectsYouhaveviolatedtheseTerms&Conditions,anylaws,ortherightsofourotherusersorotherthirdparties.Examplesofunauthorizedusageinclude,butarenotlimitedto,theuseofunauthorizedthird-partybiddingorbidtrackingsoftware,thecreationofmultipleaccountsbythesameindividualorotherfraudulentaccountactivityorbehavior.YouagreethatifRapidAuctionSoft,ingoodfaithandinitssolediscretion,determinesthatYouhavebreachedtheseTerms&Conditions,RapidAuctionSoftmaywithhold,cancel,orotherwiseretainanyandallofYourpendingdeliveriesand/orrefundsforbids.

BidPurchases/Bidding/Bid-O-Matic

Bidsarepurchasedinadvanceintheformof"BidPacks."RapidAuctionSoftreservestherighttoofferdifferentsizeBidPacksatdifferenttimes.ShouldYounothonorapayment,Youwillbechargedareturnedpaymentfee.RapidAuctionSoftreservestherighttoblockaccesstoauser'saccountuntilpaymentinfulloftheinvoiceamount,includinganyfeesduetoreturnedpayment,etc.,andtowithholdanyoutstandingdeliveriesuntilpaymentinfullisreceived.

Fromtimetotime,freebidsmaybeoffered.Freebidsareonlyvaliduntiltheexpirationdatestatedinthepromotion,whichistypicallysevendays.Onceabidisplacedinanauction,itisdeductedfromtheuser'sbidaccountandcannolongerberefunded,irrespectiveofwhetherornotthebidissuccessful.

Amaximumof20secondswillbeaddedtothetimerandonebidwillbedeductedfromYouraccountwitheachbidplaced.AnauctionendswhenthetimerontheRapidAuctionSoftserver(s)hitszero.ThewinnerofanauctionisthelastbidderthedatabaserecordedbeforethetimerontheRapidAuctionSoftserver(s)hitzero.

RapidAuctionSofthasafeaturecalled"LockedAuctions".Atsomepointduringeachauction,atRapidAuctionSoft'solediscretion,theauctionwillbelockedandcustomerswhohavenotplacedbidsontheauctionwillnotbeallowedtodoso.Also,customerswhohavenotplacedbidsontheauctionwithinacertainperiodoftimeorhavenotplacedaminimumnumberofbids,asdeterminedbyRapidAuctionSoft'solediscretion,willbepreventedfromplacingfurtherbids.Customerswhohavebeen"lockedout"willstillbeallowedtoutilizetheBuyNowfeature.

RapidAuctionSoftStore

RapidAuctionSoftmayinitssolediscretionofferselectproductsfordirectpurchasethroughtheRapidAuctionSoftStore.RapidAuctionSoftreservestherightinitssolediscretiontolimitthenumberofproductsperuserthatmaybepurchasedthroughtheRapidAuctionSoftStore.ProductsofferedthroughtheRapidAuctionSoftStorearebrand-new,unlessspecificallystated.

VoucherBidsmaybegiventouserswhopurchaseitemsfromtheRapidAuctionSoftStore.ThenumberofbidsgivenwitheachpurchasemayvarybaseduponRapidAuctionSoft'solediscretion.IfaproductpurchasedthroughtheRapidAuctionSoftStoreisreturned,theVoucherBidsreceivedwiththepurchasewillbedeductedfromtheuser'saccount.IftherearefewerVoucherBidsremainingintheaccountthanwerereceivedwiththepurchase,theremainingVoucherBidswillbeforfeitedandanamountequaltothenumberofVoucherBidsusedmultipliedby$0.40willbedeductedfromtheamountrefundedotherwise.

OddsofWinningAuctions

EveryauctionisuniqueandtheresultsofallauctionsofferedonRapidAuctionSoftdependonthenumberofusersparticipatinginsuchauctionsandtheskilloftheusersparticipatingintheauctions;preciseoddsofwinningarethereforeunavailable.

AcceptanceoftheWin/Payment

Afteranauctionhasended,Youmustactivelyconfirmandpaythetotalpriceforthewonauction.OnceYouhaveclickedontheconfirmationbuttonthewinisaccepted.Ifanauctionwinhasnotbeenconfirmedandpaidwithinthree(3)daysoftheauctionenddate,RapidAuctionSoftmaywithdrawtheoffertoconcludetheorderandpermanentlyrevokethewinner'srighttopayforandreceivedeliveryofanitem.IfRapidAuctionSoftdoesthis,allbidsplacedinthatauctionwillbedeemedexpiredandwillbenon-refundable.Afterconfirmingthewinandpayingthetotalamountdue,thewinnerwillreceiveaconfirmatione-mail.TheitemwillnotbesenttoYouuntilthetotalpricehasbeenpaidtoRapidAuctionSoft.AninvoicecontainingtheauctionpriceandshippingcostswillbesenttoYoubyRapidAuctionSoftoncedeliveryhasbeenarranged.

Returns/Cancellations

Delivery

Deliveriesaremadeexclusivelytothe50statesoftheUnitedStatesandWashingtonD.C..SomerestrictionsorhighershippingcostsmayapplytodeliveriestoAlaskaandHawaii.Unlessotherwisestated,deliverywillbemadedirectlyfromoursupplierorfromourwarehousetotheaddressprovidedbyYou.Deliverytimesvary;therefore,anytimeprovidedisonlyaguide.RapidAuctionSoftshallbeentitledtoinvolvethirdpartiestosatisfyitscontractualobligationswithoutbeingrequiredtonotifythebuyer.ObviousdamagetotheitemfromtransportorpackagingdamagedduringtransportmustbereportedtoRapidAuctionSoftuponreceipt.

RapidAuctionSoftreservestheright,initssolediscretion,torefuseshipmenttooutlyingislandsandterritories.IfYouarearesidentofanoutlyingislandorterritoryandRapidAuctionSoftdeterminesYourpurchasescannotbeshipped,RapidAuctionSoftwillrefundthepurchasepriceoftheitems,includingbidsplacedonthoseitems.

WithholdingPayment/RetentionofTitle

YouagreethattheitemdeliveredshallremainRapidAuctionSoft'propertyuntilRapidAuctionSoftreceivespaymentinfull,includingshippingcostsandbidsusedintheauction.

Youagreetoindemnify,defend,andholdRapidAuctionSoftanditsmembers,managers,shareholders,directors,officers,employees,agents,affiliates,licensors,andotherpartners(collectively,the"IndemnifiedPersons")harmlessfromanyloss,cost,expense,liability,claim,ordemand,includingreasonableattorneys'fees,sufferedbyanyIndemnifiedPersonsdueto,arisingoutof,orinconnectionwith(i)YouruseofRapidAuctionSoftoranyoftheservicesofferedbyRapidAuctionSoft,(ii)anyviolationoftheseTerms&ConditionsbyYouoranypersonactingincollusionwithYou,(iii)anyviolationofapplicablelaworcourtorderbyYou,and(iv)anynegligenceorwillfulmisconductbyYou.

SystemOutage/TemporarilyPausedAuctions

Asystemoutagehasoccurredifnobidscanbesubmittedforitemsduetoanunforeseeabledisruptioninasystem.Insuchacase,auctionswillbetemporarilypausedandtheremainingtimefortheauctions,thecurrentbiddingprice,andthecurrenthighestbidderwillberecorded.Afterthedisruptionhasbeenresolved,theauctionswillbecontinuedandtenminuteswillbeaddedtotheremainingtimesfortheauctions.Temporarilypausedauctionsareclearlyindicated.BidsplacedonatemporarilypausedauctionswillbecreditedbacktoYouraccount;however,RapidAuctionSoftisnotresponsibleforanyothercostsincurredbyYouduetoasystemoutage.RapidAuctionSoftreservestherighttocancelauctionsthatendduetosystemerror,botbidders,employeebidders,technicalproblems,oranyotherreasonablereason.

Withcurrenttechnology,itisnotpossibletodevelopandoperatecomputerprograms(software)anddataprocessingsystems(hardware)entirelywithouterror,ortoruleoutanyunpredictableeventsinconnectionwiththeInternet.RapidAuctionSoft,therefore,providesnoguaranteefortheconstantanduninterruptedavailabilityofthewebsiteandothertechnicalsystems.RapidAuctionSoftshallnotbeliableforanydamageincurredbyauctionusersorthirdpartiesfromusingRapidAuctionSoft'services.Inparticular,RapidAuctionSoftshallnotbeliablefordamagethatoccursduetobidsnotbeingreceivedbyRapidAuctionSoft,notbeingreceivedpromptly,ornotbeingconsideredasaconsequenceoftechnicalerrors.

DisputeResolution

ByagreeingtotheseTerms&Conditions,YouandRapidAuctionSofteachwaivetherighttoajurytrialortoparticipateinaclassaction.Further,Youagreethatanyandalldisputes,claims,andcausesofactionrelatinginanywaytoYouruseofRapidAuctionSoft,includingYourusepriortoagreeingtotheseTerms&Conditions,ortoanyproductssoldbyRapidAuctionSoftwillberesolvedbybindingarbitration,ratherthanincourt,exceptthatYoumayassertclaimsinsmallclaimscourtifYourclaimsqualify.

Duringthearbitration,theamountofanysettlementoffermadebyRapidAuctionSoftorYoushallnotbedisclosedtothearbitratoruntilafterthearbitratordeterminestheamount,ifany,towhichYouorRapidAuctionSoftisentitled.

RapidAuctionSoftwillpaythearbitrationfilingfeeforDisputesinvolvinglessthan$75,000,unlessthearbitratordeterminestheclaimsarefrivolous.IfthearbitratorfindsthatYourclaimisfrivolousorbroughtforanimproperpurposethenthepaymentofallfeeswillbegovernedbytheAAArules.Insuchcase,YouagreetoreimburseRapidAuctionSoftforallmoniespreviouslydisbursedbyRapidAuctionSoftthatareotherwiseYourobligationtopayundertheAAArules.Inaddition,ifYouinitiateanarbitrationinwhichyouseekmorethan$75,000indamages,thepaymentofthesefeeswillbegovernedbytheAAArules.Forclaimstotalinglessthan$10,000,Youmaychoosetohavethearbitrationconductedbytelephone,basedonwrittensubmissions,orinperson.UnlessRapidAuctionSoftandYouagreeotherwise,anyarbitrationhearingswilltakeplaceinthecountywhereyoulive.Exceptasotherwiseprovidedforherein,RapidAuctionSoftwillpayallAAAfiling,administration,andarbitratorfeesforanyarbitrationinitiatedinaccordancewiththenoticerequirementsabove.

IntheeventofafindinginYourfavor,RapidAuctionSoftagreestopayYourattorney,ifany,andreimburseanyexpenses,includingexpertwitnessfeesandcoststhatYourattorneyreasonablyaccruesforinvestigating,preparing,andpursuingYourclaiminarbitration.IfthearbitratorissuesYouanawardthatisgreaterthanthevalueofRapidAuctionSoft'lastwrittensettlementoffermadebeforeanarbitratorwasselectedthenRapidAuctionSoftwillpayYouthegreateroftheawardor$10,000andpayYourattorneytwicetheamountofattorney'sfeesandreimburseanyreasonableexpensesincurredbyYourattorneyrelatedtoYourrepresentation.Thisrighttoattorneys'feesandexpensessupplementsanyrighttoattorneys'feesandexpensesYoumayhaveunderapplicablelaw.Thus,ifYouwouldbeentitledtoalargeramountunderapplicablelaw,thisprovisiondoesnotprecludethearbitratorfromawardingYouthatamount.However,Youmaynotrecoverduplicativeawardsofattorneys'feesorcosts.AlthoughundersomelawsRapidAuctionSoftmayhavearighttoanawardofattorneys'feesandexpensesifitprevailsinarbitration,RapidAuctionSoftagreesthatitwillnotseeksuchanaward.

Thearbitratormayawarddeclaratoryorinjunctivereliefonlyinfavoroftheindividualpartyseekingreliefandonlytotheextentnecessarytoprovidereliefwarrantedbythatparty'sindividualclaim.YouandRapidAuctionSoftagreethateachmaybringclaimsagainsttheotheronlyinYouroritsindividualcapacityandnotasaplaintifforclassmemberinanypurportedclassorrepresentativeproceeding.Further,unlessbothYouandRapidAuctionSoftagreeotherwise,thearbitratormaynotconsolidatemorethanoneperson'sclaims,andmaynototherwisepresideoveranyformofarepresentativeorclassproceeding.Ifthisspecificprovisionisfoundtobeunenforceable,thentheentiretyofthisarbitrationprovisionshallbenullandvoid.

NotwithstandinganyprovisioninthisAgreementtothecontrary,weagreethatifRapidAuctionSoftmakesanyfuturechangetothisarbitrationprovision(otherthanachangetotheAddressprovidedinthe"Notices"sectionbelow)Youmayrejectanysuchchangebysendinguswrittennoticewithin30daysofthechangetotheAddressprovidedinthe"Notices"sectionbelow.Byrejectinganyfuturechange,YouareagreeingthatYouwillarbitrateanydisputebetweenusinaccordancewiththelanguageofthisprovision.

ApplicableLaw/SeverabilityClause

ThisTerms&ConditionsAgreementandYouruseofRapidAuctionSoftshallbegovernedbythelawsoftheUnitedStatesofAmericaandtheStateofOklahoma.Withoutinanywaylimitingthe"DisputeResolution"requirementssetforthabove,anycourtproceedingrelatedtothiswebsiteortheseTerms&ConditionsmaybebroughtonlyinafederalorstatecourtsittinginOklahoma.Youagreetoacceptthejurisdictionofsuchcourts.

RapidAuctionSoftwillfollowallapplicablelawsforthesaleofbidpackagesandgoodsinthecountriesinwhichitoperates.
